These Terms and Conditions ("Terms") govern your use of the website located at apexindustrialsolution.com (the "Website") and applicable interactions or transactions conducted through the Website with Apex Industrial Solutions LLC ("Apex," "we," "us," or "our").
Please read these Terms carefully before using the Website or submitting any inquiry, request for quotation, or order through the Website.
1. Acceptance of Terms
By using the Website, you acknowledge that you have read and understood these Terms and agree to be bound by them with respect to your use of the Website and any transactions or interactions you conduct through it.
These Terms do not govern every aspect of every commercial transaction between Apex and its customers. Individual quotations, proposals, order acknowledgments, purchase agreements, credit agreements, or other written documents issued by Apex may contain additional or different commercial terms applicable to a specific transaction.
When there is a conflict between these general website Terms and specific written terms issued or expressly accepted by Apex for a particular transaction, the transaction-specific written terms control.
2. Business-to-Business Use
Apex Industrial Solutions LLC primarily supplies industrial products and services for commercial, industrial, institutional, contractor, manufacturer, distributor, and other business uses.
The Website is not primarily intended as a consumer retail website. It is designed for use by business professionals, purchasing personnel, engineers, contractors, distributors, and other commercial and industrial customers acting in a business capacity.
3. Website Information and Product Information
Apex makes reasonable efforts to provide accurate and current information on the Website. However:
- Product descriptions may be summarized and may not reflect every specification, option, or variation.
- Product specifications, materials, dimensions, pressure ratings, certifications, and other technical details may change without notice as manufacturers revise their products.
- Product images are representative and may not depict the exact configuration, finish, or accessories included with a specific product.
- Manufacturer information, product lines, and availability may change.
- Website content may contain typographical errors, omissions, or inaccuracies.
Customers are responsible for reviewing applicable product specifications and confirming product suitability for their intended application before ordering. Dimensions, materials, pressure ratings, certifications, availability, and other specifications should be confirmed with Apex when critical to an application.
Apex does not provide professional engineering services through the Website. Nothing on the Website constitutes engineering approval, design approval, or professional engineering advice unless Apex has specifically agreed to provide such services in a separate written agreement.
4. Requests for Quotation
Submitting a request for quotation ("RFQ"), product inquiry, website form, email, or other product request does not by itself create a binding obligation for Apex to supply the requested products at any particular price, quantity, or delivery schedule.
A quotation issued by Apex is subject to the specific pricing, availability, lead time, validity period, freight terms, payment terms, exclusions, and other conditions stated on that quotation.
Apex retains the right to correct obvious typographical, clerical, pricing, quantity, or product-description errors in a quotation before order acceptance.
5. Quotes and Quote Validity
- Quotations issued by Apex are valid only for the period stated on the quotation.
- If no validity period is stated on a quotation, the quotation is subject to change or withdrawal and should be confirmed with Apex before relying on it for purchasing decisions.
- Pricing reflected in a quotation may be subject to manufacturer pricing changes, material surcharges, tariffs, freight market conditions, currency fluctuations, or other factors until an order has been accepted by Apex.
- Quoted lead times are estimates based on information available at the time of quotation and are not guaranteed delivery dates unless expressly stated in writing.
- Issuance of a quotation is not necessarily an acceptance of a customer's purchase order or a commitment to supply.
6. Orders and Order Acceptance
Customer purchase orders, online submissions, or other requests to purchase products from Apex are subject to acceptance by Apex. Submission of a purchase order or inquiry does not automatically create a binding contract.
Apex may confirm acceptance through an order acknowledgment, written confirmation, shipment, or other commercially reasonable method.
Apex may reject, hold, or request clarification of an order if:
- Product specifications are incomplete or unclear
- Pricing has changed since the quotation was issued
- Product availability has changed
- Credit terms have not been approved
- Manufacturer requirements or availability have changed
- An obvious error exists in the order or quotation
- Other legitimate business circumstances prevent fulfillment
7. Customer Purchase Order Terms
Terms and conditions appearing on a customer's purchase order, purchasing portal, or other purchasing document do not automatically modify or supersede Apex's terms merely because Apex receives, processes, or acknowledges the document.
Different or additional contractual terms that a customer wishes to apply to a transaction should be expressly agreed to in writing by an authorized representative of Apex. Apex does not waive its own terms by processing a purchase order that contains conflicting terms without express written agreement.
8. Pricing
- Pricing is based on information available at the time of quotation and is subject to change.
- Quoted prices may exclude freight charges, applicable taxes, duties, tariffs, special testing, third-party certifications, expediting charges, or other costs unless expressly included in the quotation.
- Obvious clerical or pricing errors may be corrected by Apex before final order acceptance.
- Special-order, custom-manufactured, configured, fabricated, automated, or modified products may be subject to different pricing structures and cancellation restrictions than standard stock items.
9. Taxes
Applicable sales, use, excise, or other taxes may be charged on transactions when required by applicable law, unless Apex has received valid documentation supporting a tax exemption or resale treatment prior to invoicing.
Customers claiming a tax exemption or resale treatment are responsible for providing valid resale certificates, exemption certificates, or other required tax documentation to Apex in a timely manner.
Nothing in these Terms constitutes tax advice. Customers should consult their own tax advisors regarding applicable tax obligations.
10. Payment Terms
Payment terms for a transaction are determined by the applicable quotation, customer credit approval, invoice, order acknowledgment, or other written agreement between Apex and the customer.
Apex may require advance payment, deposits, credit approval, letters of credit, or other payment arrangements for specific orders, customers, or product types as specified for the applicable transaction.
11. Lead Times and Availability
- Product availability can change based on manufacturer inventory, production schedules, and supply-chain conditions.
- Lead times provided by Apex are generally estimates based on information supplied by manufacturers, distributors, carriers, and other third parties at the time of quotation and are not guaranteed delivery dates unless expressly stated in writing.
- Apex may rely on information provided by manufacturers, distributors, freight carriers, and other supply-chain participants when communicating availability and lead times.
- Delays caused by suppliers, manufacturers, transportation providers, material shortages, weather events, labor disruptions, government actions, or other circumstances beyond Apex's reasonable control may occur and may affect stated lead times.
Apex will make reasonable efforts to communicate material changes in availability or lead time to affected customers.
12. Shipping, Freight, Delivery, and Risk of Loss
Specific freight terms, shipping method, delivery location, responsibility for freight charges, title transfer, and risk of loss for a particular transaction may be governed by the applicable quotation, order acknowledgment, shipping documentation, or written agreement between Apex and the customer.
Customers should inspect shipments promptly upon receipt and report shipping shortages or visible transportation damage to Apex and the applicable carrier as soon as reasonably possible after delivery.
13. Expedited Orders
Customers may request expedited handling or expedited manufacturer production when such options are available.
Any additional expediting fees or premium freight charges associated with an expedited request will be disclosed or agreed upon as part of the applicable transaction.
Apex does not guarantee that an expedited request will result in a specific delivery date unless expressly guaranteed in writing.
14. Cancellations and Changes
Orders may not always be cancelable after acceptance by Apex. Cancellation eligibility depends on the nature of the product, the stage of processing, and manufacturer policies.
Special-order, custom-manufactured, configured, fabricated, automated, modified, tested, or non-stock products may be:
- Non-cancelable after order placement or after a certain stage of production
- Subject to manufacturer approval for cancellation
- Subject to cancellation charges, restocking charges, engineering charges, production charges, or other costs imposed by the manufacturer or supplier
Any requested changes to an accepted order may affect pricing, lead time, freight, or product availability.
15. Returns
Products should not be returned to Apex without prior written authorization from Apex. Unauthorized returns may be refused or returned to the customer at the customer's expense.
Return eligibility may depend on:
- Product condition at the time of return request
- Manufacturer return policies and authorization requirements
- Whether the item was a special order, custom order, or non-stock item
- Whether the product has been modified, configured, installed, or used
- Time elapsed since delivery
- Applicable restocking charges
- Freight costs associated with the return
- Other transaction-specific circumstances
Custom, fabricated, modified, automated, special-order, or non-stock products may be non-returnable.
16. Product Inspection and Claims
Commercial customers are encouraged to inspect products promptly after delivery.
Customers should notify Apex within a commercially reasonable time if they believe:
- A shipment is incomplete or short-shipped
- The wrong product was shipped
- There is visible transportation damage
- The product does not match the acknowledged order
Prompt notification allows Apex to investigate and work toward resolution. Failure to provide timely notice of a claim may affect Apex's ability to pursue remedies against carriers, manufacturers, or other parties.
17. Manufacturer Products and Warranties
Apex frequently supplies products manufactured by third-party manufacturers.
Manufacturer warranties, when applicable, are provided by the applicable manufacturer and are subject to the manufacturer's warranty terms, limitations, procedures, and eligibility requirements.
Apex may assist customers in communicating legitimate warranty claims to manufacturers when appropriate, but Apex does not control a manufacturer's investigation, approval, denial, repair, replacement, or other resolution of a warranty claim.
Unless Apex expressly provides a separate written warranty for a particular transaction, Apex does not create an additional independent product warranty beyond applicable manufacturer warranties or obligations imposed on Apex by applicable law.
Nothing in these Terms is intended to exclude, waive, or limit any warranty, obligation, right, or remedy that cannot lawfully be excluded, waived, or limited under applicable law.
Any warranty exclusion or limitation specifically applicable to an individual transaction must be contained in the applicable transaction documents or otherwise validly agreed to in accordance with applicable law.
18. Product Selection and Application
Industrial products can be used in a wide variety of applications, operating environments, and service conditions. Customers are responsible for providing accurate and complete operating conditions, specifications, and application requirements when requesting products from Apex.
Unless Apex expressly agrees otherwise in a separate written agreement, the customer remains responsible for the final determination of product suitability for the intended application.
Relevant factors that customers should evaluate and communicate may include, but are not limited to:
- Operating pressure and pressure class
- Operating temperature range
- Process media and fluid characteristics
- Materials of construction and compatibility
- Dimensional requirements and end connections
- Flow conditions and flow rates
- Actuation requirements
- Electrical requirements
- Environmental and installation conditions
- Applicable codes, standards, and regulatory requirements
Apex does not assume the responsibilities of the customer's engineer, designer, contractor, operator, or end user unless expressly agreed in writing.
19. Manufacturer Changes and Product Substitutions
Manufacturers may revise, discontinue, replace, or modify products, specifications, materials, or configurations without prior notice to Apex.
Apex will make reasonable efforts to communicate material product changes to affected customers when Apex becomes aware of them.
Apex will not make substitutions that materially differ from an accepted order without appropriate customer approval when such approval is reasonably required by the circumstances of the transaction.
20. Limitation of Liability
To the fullest extent permitted by applicable law, Apex's liability in connection with any transaction, product, or website use shall be limited as described in this section.
Apex shall not be liable for indirect, incidental, special, exemplary, or consequential commercial damages arising out of or related to any transaction, product, or use of the Website, including but not limited to lost profits, lost production, loss of use, business interruption, or downtime, even if Apex has been advised of the possibility of such damages.
Nothing in these Terms limits or excludes Apex's liability:
- For intentional misconduct or gross fault to the extent that applicable Louisiana law prohibits such limitation
- For physical injury to persons to the extent that applicable Louisiana law prohibits such limitation
- For any other liability that cannot lawfully be limited or excluded under applicable law
21. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Apex Industrial Solutions LLC and its members, managers, employees, and agents from and against claims, damages, losses, and expenses arising out of or related to:
- Your misuse of the Website in violation of these Terms
- Your violation of applicable law in connection with your use of the Website
- Misuse of products purchased from Apex in a manner inconsistent with applicable product specifications, warnings, or instructions
This indemnification obligation does not require you to indemnify Apex for Apex's own intentional misconduct, gross fault, or other liability that cannot lawfully be shifted to you under applicable law.
22. Force Majeure
Apex shall not be in default or liable for delays, non-performance, or inability to perform obligations under these Terms or any transaction to the extent caused by circumstances beyond Apex's reasonable control, including but not limited to:
- Natural disasters, hurricanes, severe weather, flooding, or other acts of nature
- Fire or explosion
- War, terrorism, civil unrest, or government actions
- Labor disputes, strikes, or work stoppages
- Transportation interruptions or carrier failures
- Supply-chain disruptions, raw-material shortages, or manufacturer delays
- Embargoes, tariffs, trade restrictions, or import/export controls
- Utility failures or infrastructure outages
- Cybersecurity incidents outside Apex's reasonable control
- Pandemic, epidemic, or public health emergency
- Other comparable events beyond Apex's reasonable control
Such circumstances may affect product availability, estimated lead times, shipment, performance, or pricing to the extent permitted by the applicable quotation, order acknowledgment, transaction-specific terms, or subsequent agreement between the parties. Apex will make reasonable efforts to communicate material impacts to affected customers.
23. Intellectual Property
The Apex Industrial Solutions LLC name, branding, logo, original website text, graphics, design, and original website content are owned by Apex or used with permission and are protected to the extent provided by applicable intellectual property law.
Manufacturer names, trademarks, logos, product photographs, drawings, specifications, and other third-party materials displayed on the Website remain the property of their respective owners. Display of manufacturer materials on the Website does not imply that Apex owns those materials or has any ownership interest in manufacturer intellectual property.
Visitors may view and use Website content for legitimate business purposes related to evaluating or transacting with Apex. Unauthorized commercial copying, reproduction, or distribution of Apex-owned Website content is prohibited.
24. Permitted Website Use
You agree to use the Website only for lawful purposes and in a manner consistent with these Terms. The following activities are prohibited:

If customer accounts are made available on the Website, users are responsible for maintaining the confidentiality of their login credentials and for all activity conducted through their account.
You should notify Apex promptly if you become aware of or suspect unauthorized access to your account. Apex will not impose unreasonable liability on a customer for unauthorized account activity that occurs through no fault of the customer.
27. Privacy
Collection and handling of personal information through the Website is addressed by the Apex Industrial Solutions LLC Privacy Policy.
These Terms do not duplicate or replace the Privacy Policy. Please review the Privacy Policy for information about how Apex collects, uses, and protects information submitted through the Website.
28. Electronic Communications
When you contact Apex electronically through the Website or conduct business with Apex electronically, you may receive applicable business communications from Apex electronically, including responses to inquiries, quotations, order acknowledgments, invoices, and other transaction-related communications.
Acceptance of these Terms does not constitute consent to receive unrelated promotional marketing communications. Promotional communications are governed separately.
29. Governing Law
To the extent legally permissible, these Terms and any transaction governed by these Terms shall be governed by and interpreted in accordance with the laws of the State of Louisiana, without regard to conflict-of-law principles that would require application of the laws of another jurisdiction.
Louisiana law governs the interpretation and enforceability of these Terms except where applicable federal law or another controlling law requires otherwise.
30. Disputes and Venue
If a dispute arises relating to these Terms or a transaction governed by these Terms, Apex and the customer are encouraged to first attempt to resolve the dispute through good-faith business discussions.
Unless the parties have expressly agreed otherwise in writing for a particular transaction, and to the extent permitted by applicable law, any legal proceeding relating to these Terms or a transaction governed by them shall be brought before a court of competent jurisdiction in Louisiana, with venue in the parish in which Apex maintains its principal place of business when legally permissible.
Nothing in this provision prevents a court from exercising any authority regarding jurisdiction or venue that cannot legally be modified by agreement.
These Terms do not include mandatory arbitration, class-action waivers, jury-trial waivers, or attorney-fee-shifting provisions.
31. Severability
If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it shall be severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect to the extent permitted by law.
32. No Waiver
Failure by Apex to immediately enforce any provision of these Terms or to exercise any right available to Apex does not constitute a waiver of that provision or right. Apex reserves the right to enforce any provision of these Terms at any time.
33. Changes to the Terms
Apex may update these Terms from time to time to reflect changes in our Website, business operations, legal requirements, or other factors. When we update these Terms, we will revise the Last Updated date shown at the top of this page.
Updated Terms apply to Website use and interactions occurring after the updated Terms are posted. Updated website Terms do not automatically modify the terms of previously accepted orders or existing written agreements between Apex and a customer.
34. Entire Agreement / Transaction-Specific Documents
These website Terms provide a general framework for use of the Website and interactions conducted through it. They do not replace or supersede transaction-specific quotations, purchase agreements, credit agreements, order acknowledgments, manufacturer requirements, or other written agreements expressly issued or accepted by Apex for a specific transaction.
Where transaction-specific written terms expressly applicable to a transaction conflict with these general website Terms, the transaction-specific written terms control.
